Payment Terms & Conditions

1. What You're Purchasing

By completing payment through this checkout, you are purchasing a custom-built website package from Joshua Boudwin / Boudwin Web Design ("Seller"), as scoped and agreed with you directly prior to payment. The package may include website source files, domain setup assistance, hosting setup assistance, and/or equivalent handoff materials.

2. Payment

The purchase price is due in full at checkout and is non-refundable once delivery and transfer assistance is complete. "Payment" means Seller's actual receipt of cleared funds, not merely your submission of payment.

3. Delivery and Transfer

Within a reasonable time following payment, Seller will deliver the website files and assist with setup or transfer of domain and hosting access as agreed. Domain or hosting setup can be delayed by third-party services outside Seller's control; such delays do not affect the validity of this purchase.

4. Ownership

Upon Seller's receipt of full payment, rights in the final delivered client-specific website and deliverables transfer to you, including your branding, business-specific content, and final website files. Seller may retain and reuse generic, non-client-specific template code, systems, structure, and design patterns, but never your branding, content, or business-specific materials.

5. Third-Party Materials

The website may include third-party elements such as fonts, open-source libraries, embedded widgets, hosting services, domain registrars, maps, booking tools, or stock imagery, each provided under their own terms. Ongoing third-party services and accounts are your responsibility to maintain after handoff unless separately agreed in writing.

6. No Warranty

The website is provided as-is. Seller does not guarantee any particular business outcome, search ranking, traffic level, customer conversion, or revenue result from the website.

7. Limitation of Liability

Seller's total liability arising from this purchase will not exceed the amount you actually paid to Seller for the website package. Neither party is liable for indirect or consequential damages.

8. After the Sale

This is a one-time purchase. Seller has no ongoing obligation to host, maintain, or update the website beyond the limited transfer/setup assistance agreed at the time of sale. Additional work, edits, maintenance, hosting help, or care-plan services are billed separately unless otherwise stated in a signed agreement.

9. Governing Law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes will first be addressed informally before any formal proceeding.

These terms summarize the standing conditions of purchase for checkout purposes. If you and Seller execute a separate, signed Website Sale and Intellectual Property Transfer Agreement for your specific project, that signed agreement controls over these terms in the event of any conflict.
